{"id":106,"date":"2007-10-12T08:46:32","date_gmt":"2007-10-12T08:46:32","guid":{"rendered":"http:\/\/www.corporate-eye.com\/2007\/10\/8-ways-of-revealing-your-shareholder-base\/"},"modified":"2007-10-12T08:46:32","modified_gmt":"2007-10-12T08:46:32","slug":"8-ways-of-revealing-your-shareholder-base","status":"publish","type":"post","link":"https:\/\/www.corporate-eye.com\/main\/8-ways-of-revealing-your-shareholder-base\/","title":{"rendered":"8 ways of revealing your shareholder base"},"content":{"rendered":"<p>Do you want to be seen as open and transparent?  <\/p>\n<p>People want to know who has money invested in your company, and you should explain this &#8211; though you don&#8217;t need to mention everyone!  <\/p>\n<p>I&#8217;ve found 8 different ways that companies have used to disclose and explain their shareholder structure.  <\/p>\n<p>This is usually done by one of the following four methods:<\/p>\n<ol>\n<li>Giving a list of the top 10 or 20 shareholders (by size of shareholding)<\/li>\n<li>Showing the structure of your shareholder base by size of shareholding<\/li>\n<li>Providing details of the shareholders by geography<\/li>\n<li>Giving details of the different categories of share (e.g. ordinary shares, or preference shares).<\/li>\n<\/ol>\n<p>Indeed, the <a href=\"http:\/\/www.ir-soc.org.uk\">Investor Relations Society (UK)<\/a> recommends providing:<\/p>\n<blockquote>\n<ul>\n<li>Shareholding analysis by size of holding, type of holding and geographical origin.<\/li>\n<li>\nDetails of the percentage holdings of principal shareholders.<\/li>\n<\/ul>\n<\/blockquote>\n<p>But what about telling us:<\/p>\n<ol start=\"5\">\n<li>The percentage share of the votes?<\/li>\n<li>The changes to the shareholder base over the last quarter &#8211; or several quarters?<\/li>\n<li>The proportion of retail investors to professional investors?<\/li>\n<li>The proportion of shares held by the directors or other named individuals (who are probably not the principal shareholders in a big company)?<\/li>\n<\/ol>\n<h3>Examples of shareholder analysis in corporate websites<\/h3>\n<div class=\"floatleft\">\n<ul>\n<li>Prudential gives details of its share-ownership structure by size of shareholding and by geography.  This lets us see which country the main shareholders are based in.<\/li>\n<li>Legal and General give details of their share-ownership structure by type of shareholder and by size of shareholding.<\/li>\n<li>Stora Enso tell us what percentage of the shares (and votes) that each type of shareholder has &#8211; and by what percentage that has changed over the last quarter. That&#8217;s interesting &#8211; why not tell me up front?  Look back at the Legal and General example and the Stora Enso example &#8230; these companies let us know what type of investor is interested in their stock.<\/p>\n<p>Some companies have complicated ownership structures.  Perhaps there are complicated crossholdings.  Explaining this is usually simplified by using a diagram (the example below is taken from the 2006 <a href=\"http:\/\/www.bridgeir.com\/analysis.html\">Bridge IR report<\/a> available on the <a href=\"http:\/\/www.regtech.com\">Reg\/Regi US<\/a> site)<\/p>\n<p><img data-src='https:\/\/www.corporate-eye.com\/main\/wp-content\/uploads\/2007\/10\/regtech400.jpg' alt='REG\/REGI cross-holdings' src='data:image\/svg+xml;base64,PHN2ZyB3aWR0aD0iMSIgaGVpZ2h0PSIxIiB4bWxucz0iaHR0cDovL3d3dy53My5vcmcvMjAwMC9zdmciPjwvc3ZnPg==' class='lazyload' style='--smush-placeholder-width: 400px; --smush-placeholder-aspect-ratio: 400\/227;' \/><\/p>\n<div class=\"floatleft\">\n<p>What about the directors &#8211; how much stock do they hold?  This information is usually available in the Corporate Governance section, or in the online report, but providing a link from the page that details the shareholder base would be illuminating, though very rarely done.  <\/p>\n<p>Signet do provide details of the percentage held by the directors as a group; of course, the bigger the company, the less significant each person&#8217;s holdings are.
